Professional Services Contract
Parties. This Professional Services Contract (hereinafter “Agreement”) is entered into this 16th day of March, 2016, between XYZ FILMS, TEXAS, a film and documentary producer (“BUYER”) and Mr John Doe, Independent WRITER and Script Editor, Texas (“CONTRACTOR”).
Scope of Services. The CONTRACTOR agrees to provide the following services to the BUYER, as per the terms below –
Writing and Editing – While the CONTRACTOR has assured the BUYER of his professional qualifications and the BUYER has satisfied himself with the work and references provided; the CONTRACTOR will be engaged in writing and editing the script for the documentary film on Texas immigrants (hereinafter, “Project”). The said documentary has duration of two hours and the CONTRACTOR will write or edit the work as needed to complete the two hour script, without regard to number of pages or number of words, in total. The said writing or editing will be of high standards - grammatical and language quality, in U.S English. It will be written in the style of story-telling, with easy words, emotive with no slang, profanities, racial or other objectionable words.
Research – The CONTRACTOR may be required to either edit scripts already written by others OR write completely new scripts related to this project. He will be required to conduct his own research, interviews and analysis for writing new material. The CONTRACTOR may encounter Spanish speaking immigrants during the research and interview process. The CONTRACTOR agrees to bear the cost of hiring of Spanish sub-contractor, translation or transliteration to U.S. English as and when needed.
Meetings – The CONTRACTOR is required to attend briefings and project meetings as and when scheduled by the BUYER. The CONTRACTOR is required to inform the team 48 hours before the meeting date in case a re-scheduling is requested.
Time – The CONTRACTOR will be required to work on the project for a period of 3 months. All the work should be completed by the end of 15th day of June, 2016, 5 p.m. (CST). The CONTRACTOR shall take requisite approvals from the project head at every stage of the Project. In case of unforeseen and extenuating circumstances beyond the control of the CONTRACTOR like riots, earthquakes, floods, other natural disasters, electrical breakdowns, health issues and such, the CONTRACTOR may request for reasonable change (as defined by the BUYER) in the time schedules for that part of project delivery. Any delay in the delivery of the final Project will attract a delay cost of $50 per day, which will be deducted from the dues payable to the CONTRACTOR at the end of the project. The delay cost will not apply if the delays are due to lack of feedback and governance from the BUYER.
Technology and Review – The CONTRACTOR will use genuine and licensed Microsoft® WORD® software, Version 2010, for writing and editing. They should be standardized, with left alignment, centralized headings, Arial Font, size 11, single spaced. The BUYER will not provide any hardware or software for the completion of the project. All documents pertaining to the stages of the Project will be stored on the CONTRACTOR’S PC or Computer device. The CONTRACTOR should ensure that a daily back-up of the files are taken and stored on an external hard-drive, which will be provided to the BUYER in case of technological breakdowns. The CONTRACTOR is required to e-mail the document for review to , marking a copy to . The BUYER will provide feedback within 24 hours by e-mail or during the review meetings, whichever is earlier. The CONTRACTOR should immediately incorporate the feedback, revise and send the document within 24 hours.
Payment – The CONTRACTOR will receive all-inclusive fees of $250 per working day (Monday-Friday), for completing this assignment. The said payment covers all the fees in total and includes writing and editing fees, travel or transportation, research and analysis cost, phone, computer, printer hire/rent, electricity and all such costs that may be incurred by the CONTRACTOR for the successful completion of the project. The said fees will be payable to the CONTRACTOR at every stage of successful completion of the project, as defined by the BUYER – in terms of timeliness and quality of work. Incomplete work or non-completion of the work at any stage will result in withholding of the payment for that payment cycle. After successful completion of the project, as defined by the BUYER, the CONTRACTOR will be given a final completion certificate by the Project Head, based on which, the CONTRACTOR will issue a final invoice. The BUYER will review and consolidate all applicable payments plus deductions and clear the dues within 7 days of submission of the final invoice.
Compliance – The CONTRACTOR will comply and be responsible for all the laws and regulations needed for the successful completion of the project. In case the CONTRACTOR is forced to use the services of a translator or Sub-Contractor, he is required to inform the Project head in writing and take requisite permissions before engaging such personnel. Payments and management of the work of the Sub- Contractor, is the sole responsibility of the CONTRACTOR and does not fall within the purview of this Agreement.
Indemnification - The CONTRACTOR hereby indemnifies the BUYER against any and all liabilities, arising out of acts of service deficiency, negligence, omission or commission of the CONTRACTOR or his team. All project related documentation including hand written reports, writings, edits, voice or video recordings, transcripts and any such material will be the sole property and copyright of the BUYER. The CONTRACTOR hereby, agrees to waive all claims of copyright and intellectual property rights in relation to work done on this project or use of the work in future. The CONTRACTOR assumes full responsibility to preserve and maintain the confidentiality of the information received and material in the documents and agrees to not share or divulge any information to other individuals or firms.
Changes. In case of any changes initiated by the BUYER, the additional payment terms and time frame will be negotiated mutually and agreed upon in writing. In case of changes initiated by the CONTRACTOR, the BUYER will be provided with at least 3 weeks of time to discuss the changes. In case of non-agreement or changes which will affect the final delivery schedule, the CONTRACTOR agrees to compensate the BUYER to the tune of $5,000, payable immediately on Termination.
Termination. The BUYER and CONTRACTOR reserve the right to terminate this Agreement by providing a notice in writing of 30 days.
Disputes. All disputes relating to the Agreement or the relationship between the two parties are subject to the laws in the City of Dallas, State of Texas.
Signatures. The individuals executing this Agreement certify that they have the legal right and authority to execute this Agreement on behalf of their firms.
