Contract for distribution services
On this day 10th of May 2015 Grand Health Pharmaceuticals (GHP) and (Name of Distributor) get into a business partnership which is bound by the following terms and conditions.
SCOPE OF CONTRACT SERVICES
The distributor will be expected to perform distribution to all the clients of the pharmaceuticals which ranges from clinics, hospitals, chemist and supermarkets.
Performance Goals and Services
The distributor is expected to make deliveries to various clients in time and sometimes these deliveries may offer special challenges. The distributor should be in a position to be efficient during emergencies. Once the goods have changed hands between the pharmaceutical and the distributor, the distributor will be liable for these goods until they have reached the intended destination. The distributor will be required to be available round the clock in case of any emergencies. GHP will not be liable for any extra costs incurred by the distributor in case of emergencies, unless in exceptional cases where the services might be required for other purposes which are not included in the contract.
Performance Measures
The distributor will be provided with a list of clients in need of the distribution services which they will be expected to fulfil. The distributor should also provide GHP with access to their schedule and an emergency plan which they intend to use during emergencies. Qualifications of the personnel which must include professional driver’s license should be included.
Monitoring
The distributor will be evaluated through client feedback and their ability to provide quality services even in emergency situations.
Contract Time
The contract should begin on the 1st of June 2015 and ends on 30th August. GHP will decide if they will extend the contract based on the performance of the distributor.
Taxes
GHP is not responsible for the taxes incurred from the payments made for this agreement. The distributor is expected to pay their taxes on the compensation they receive from GHP.
Compensation
The distributor will be expected to cover up to 1000 miles every month in distribution services and they will receive 1,000 USD dollars for services up to 1000 miles and below. GHP will pay an extra 15 dollars for every mile above 1000 miles.
Payment
The distributor should send an invoice to GHP every 1st of the month. After verification of the invoice a lump sum payment will be made to the distributor.
Termination for clause
Failure to offer satisfactory services, GHP will send these concerns to the distributor in writing. If the Distributor fails to comply within 30 days, GHP will be forced to terminate the contracts on grounds of breach of contract.
Termination for Clause
Both party may terminate the contract after a 30 day notice, and GHP will pay the distributor for all services rendered to the pharmaceutical, provided the services are within the requirements of the contract.
Termination for Non-appropriation of funds
The continuation of the contract is dependent on the pharmaceuticals ability to pay for the distribution of services. The pharmaceutical is governed by a board of directors which is responsible for the approval of funds.
Remedies for Default
Violation of the contract laws by this contract should be addressed in reference to the state contract laws of Louisiana.
Indemnification and Limitation of Liability
GHP will be indemnified of any losses which might be made as result of incompetency on the side of the distributor. The distributor will also maintain confidentiality at all times and will be held liable for any suits or costs incurred as a result of poor relations with any of our clients.
Funds
This contract should not by any of these parties for malicious purposes such as manipulation.
Ownership
All documents presented to GHP in the processing of the contract will remain the property of GHP until when the contract will be terminated.
Non- Assignability
The distributor may not reassign their duties to another distributor without prior consent from GHP.
Right to Audit
PHG will be allowed access to the distributor financial records which are relevant to the contract.
Contract Modification
Modifications to this contract will only be done in writing and signed by both parties.
Confidentiality of data
All confidential data made available to the client for the purpose of enabling the distributor to perform their role should be treated as such, and the distributor has a legal obligation to protect this information.
Discrimination Clause
The distributor should abide by the Age Discrimination Clause of 1975 which prevents the organization from firing individuals who are above the age of 40 years.
Applicable Law
This contract will abide by the state contract law of Louisiana and legal action may be taken in case the contract is not adhered to.
Any concerns on the violation of the contract law at any point in the course of implementing the contract should be raised with GHP within the shortest time possible.
Severability
Both parties should abide by the contents of this contract, failure to which can result in legal action.
Complete contract
The above is the complete agreement. This agreement will be made complete by signatures by both parties and none of the parties should be coerced into getting into this agreement.
The section below should be signed in the presence of a witness as an agreement that both parties will comply within the provisions of this agreement.

Project cost
